Terms of Service
Effective date: October 8, 2026
These Terms of Service ("Terms") are an agreement between you and KnottRapone Enterprises, LLC, doing business as TorqCRM ("Torq," "we," "us," or "our"). They govern your use of our website at torqcrm.com, our web and mobile applications, and related services (the "Service"). The Service includes Torq 2.0 and our earlier Torq 1.0 applications, including TorqCore, TorqQuote, TorqTime, TorqBooks, TorqBoost, and the Torq workspaces we provide on the GoHighLevel platform.
By creating an account, signing an order, or using the Service, you agree to these Terms and to our Privacy Policy at torqcrm.com/tcprivacy-policy. If you are accepting on behalf of a business, you confirm that you have authority to bind that business, and "you" means that business. If you do not agree, do not use the Service.
1. Who may use the Service
The Service is for businesses: vehicle wrap, graphics, sign, PPF, tint and similar shops ("Shops"), and the owners, staff and contractors they authorize ("Users"). You must be at least 18 years old. You are responsible for everyone who uses the Service under your account, for keeping login credentials secure, and for telling us promptly at support@torqcrm.com if you suspect unauthorized access.
2. Your subscription
Plans and fees. You agree to pay the fees for the plan and add-ons you choose, as shown when you subscribe or in your order. Fees are in US dollars and exclude taxes, which you are responsible for (other than taxes on our income).
Billing and renewal. Subscriptions are billed in advance, monthly or on the term stated in your order. They renew automatically for the same term until cancelled. You authorize us and our payment processor (currently Stripe) to charge your payment method on each renewal.
Cancellation. You can cancel at any time, effective at the end of the current billing period. Fees already paid are not refundable, except where required by law or where we say otherwise in writing.
Late payment. If a payment fails and is not resolved within 14 days after we notify you, we may suspend the Service until it is paid.
Price changes. We may change our prices with at least 30 days' notice. A change takes effect at your next renewal after the notice period. If you don't agree, you may cancel before it takes effect.
Trials and beta features. We may offer free trials or features labelled beta, preview or early access. These are provided as-is, may change or end at any time, and are excluded from any commitments in these Terms.
3. Your data
You own it. As between you and Torq, you own all information and content you or your Users enter into, upload to, or collect through the Service. This includes your customers' information, quotes, jobs, invoices, designs, photos, messages, recordings and files ("Your Data").
Our permission to use it. You give Torq a limited permission to host, store, copy, process, transmit and display Your Data only as needed to provide, secure, support and improve the Service, and as described in our Privacy Policy. We do not sell Your Data.
Aggregated information. We may create aggregated or de-identified information from use of the Service that does not identify you, your customers or any person, and use it to operate and improve the Service.
Export and deletion. You can export Your Data while your subscription is active. After cancellation or termination, we will keep Your Data available for export for 30 days. After that we may delete it, except where we must keep it longer by law. Copies in backups are deleted as those backups are overwritten.
Your responsibilities for Your Data. You are responsible for Your Data and for having the rights and consents needed to collect it and use it through the Service, including the consents your customers give.
4. Messaging, calls, payments and signatures
The Service lets Shops email, text and call their customers, record calls, take payments, and collect approvals and signatures. When you use these features, you are the sender, and you are responsible for following the laws that apply. These include the Telephone Consumer Protection Act (TCPA), CAN-SPAM, carrier and 10DLC messaging rules, call-recording and consent laws, and consumer-protection and payment laws.
In particular, you agree:
- to text only people who have agreed to receive your messages, and to honor opt-outs (Torq processes STOP replies automatically);
- not to send spam, unlawful or misleading messages, or content prohibited by our carriers;
- to give any call-recording notice and obtain any consent your location requires;
- that payments your customers make go to your own payment account. Payments are subject to your agreement with the payment processor (for example, the Stripe Connected Account Agreement). Torq is not a party to your transactions with your customers and is not responsible for chargebacks, refunds or disputes between you and them;
- that electronic approvals and signatures collected through the Service are your records. You are responsible for whether they meet the requirements that apply to your business.
We may suspend messaging, calling or payment features if a carrier, payment processor or regulator requires it, or if we reasonably believe they are being used unlawfully.
5. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent or harmful, or to infringe anyone's rights;
- upload malware or content you have no right to share;
- attempt to access another Shop's data, probe or break our security, or interfere with the Service;
- copy, resell, sublicense or reverse-engineer the Service, except as the law allows;
- scrape the Service or use automated means to access it, except through features or interfaces we provide for that purpose;
- use the Service to build a competing product.
We may remove content or suspend access that violates these Terms. Where reasonable, we will tell you why and give you a chance to fix it.
6. Third-party services
The Service works with services we don't control, such as QuickBooks Online, Google and Microsoft calendars, Stripe, Twilio, GoHighLevel, mapping services and your printing software. Your use of them is governed by their own terms, and we are not responsible for them. When you connect one, you authorize us to exchange Your Data with it as needed for the connection. If a third-party service changes or stops working with Torq, we may need to change or remove the related feature.
7. AI features
Some features use artificial intelligence, for example summaries and transcriptions. AI output can be incomplete or wrong. Review it before relying on it, especially for prices, quotes or anything you send to a customer. You are responsible for how you use AI output.
8. Our property
Torq and its licensors own the Service, including its software, design, content and trademarks. Apart from the right to use the Service under these Terms, you receive no rights in it. If you send us suggestions or feedback, we may use them without obligation to you.
9. Availability and support
We work to keep the Service available and reliable, but we don't guarantee that it will be uninterrupted or error-free. We may perform maintenance and update the Service from time to time, and we will try to give notice of planned downtime that affects you. Support is available at support@torqcrm.com.
10. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the fullest extent permitted by law, Torq disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.
Torq is a tool for running your business. You remain responsible for your prices, quotes, schedules, tax and accounting records, and business decisions. Figures the Service suggests, such as estimates, material needs, costs and margins, are aids to your judgment, not guarantees.
11. Limitation of liability
To the fullest extent permitted by law:
(a) Torq will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility; and
(b) Torq's total liability for all claims relating to the Service or these Terms will not exceed the fees you paid Torq in the 12 months before the event giving rise to the claim.
These limits do not apply where the law does not allow them.
12. Indemnification
You will defend and indemnify Torq, and its owners, employees and agents, against claims, damages and costs, including reasonable attorneys' fees, that arise from:
- Your Data;
- your messages, calls or payments;
- your violation of these Terms or of any law; or
- your dealings with your customers.
13. Suspension and termination
You may stop using the Service and cancel at any time (see section 2). We may suspend or terminate your access if you materially breach these Terms and don't cure the breach within 14 days of notice, if you fail to pay, or immediately where needed to protect the Service, other users, or the public, or to comply with law.
On termination, your right to use the Service ends, and section 3's export and deletion terms apply. Sections 3, 4, 8, 10, 11, 12, 14 and 15 continue to apply after termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Nassau County, Florida, and both parties consent to their jurisdiction. Before filing a claim, each party agrees to try in good faith to resolve the dispute informally for 30 days after written notice.
15. General
Changes. We may update these Terms. We will post the new version here with a new effective date. For material changes, we will notify account owners by email or in the Service at least 30 days before they take effect. If you keep using the Service after that, you accept the updated Terms.
Entire agreement. These Terms, the Privacy Policy, and any order you sign are the entire agreement between you and Torq about the Service. If an order conflicts with these Terms, the order controls for that subscription.
Other terms. If any part of these Terms is unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not assign these Terms without our consent. We may assign them in a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to you may be sent to your account email. Notices to us go to support@torqcrm.com.
16. Text message terms for message recipients
These terms apply to people who receive text messages sent through Torq.
Shops use Torq to send text messages to their customers. These include quote and proposal links, appointment confirmations and reminders, design and print proof requests, job status updates, and payment and invoice notices. You receive these messages because you gave your number to the Shop and agreed to hear from it.
Message frequency varies with your project. Message and data rates may apply.
Reply STOP to opt out at any time; you will receive one confirmation and no further messages from that Shop's number. Reply HELP for help, or contact support@torqcrm.com.
Carriers are not liable for delayed or undelivered messages.
Your mobile information will not be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy at torqcrm.com/tcprivacy-policy.
